Introducer (referral) agreement template
An introducer agreement sets out the terms on which a person or business passes prospective clients to another business in return for a commission. It covers how an introduction is made, when a client counts as referred, how the commission is worked out and paid, and the introducer's duty to be open about it. A business uses one for each referral partner.

Questions people ask
What is an introducer agreement?
A contract between a business and someone who recommends it to potential clients and is paid commission when they become clients.
What is the difference between an introducer and an agent?
An introducer passes on leads and does not negotiate or sign up customers. An agent acts for the business in making sales.
How is an introducer usually paid?
Either a one-off fee for each referred client or a percentage of the fees for an agreed period. This agreement supports both.
Does the introducer have to tell clients about the commission?
The agreement requires the introducer to say they receive a commission. In some fields, such as regulated advice, extra disclosure may be required.
Is this suitable for regulated activities?
It is written for ordinary business referrals. Regulated activities, such as financial advice, have separate rules the agreement does not replace.
