Memorandum of sale template

A memorandum of sale is the estate agent's record of a property sale agreed subject to contract, sent to the seller, the buyer and both conveyancers. It sets out the property, the agreed price and what is included, the details of the seller and buyer and their conveyancers, how the buyer is funding the purchase, any chain, and the target dates. It is not a contract, and neither side is bound until contracts are exchanged.

The rules it usually needs

Written in plain English when the template is set up.

  • The AI decides from the paperwork

“Include the chain only if there is one.”

The buyers were selling a flat to a first-time buyer, so the chain section was included, with that reason shown.

  • Once for each item

“One row in the chain table for each link, from the bottom of the chain to the top.”

The chain table had three rows.

  • One of several wordings

“Tenure, funding and the identity checks each use one of their wordings.”

Freehold, a mortgage with an agreement in principle, and checks done on 2 October 2026.

  • Only when…

“Include the lines for items included or sold separately, the mortgage broker, the survey, special conditions and any personal interest only when they are given.”

The email gave included items, a separate sale, a broker and a survey, so those lines appear; there were no special conditions or personal interest.

  • The AI decides from the paperwork

“Include the marketing line only if the seller has said whether to keep marketing.”

The sellers asked the agent to stop marketing the property, so the line was included.

Questions people ask

Is a memorandum of sale legally binding?

No. It records a sale agreed subject to contract. Either side can still withdraw until contracts are exchanged.

Who gets a copy of the memorandum of sale?

The seller, the buyer, both conveyancers and, where there is one, the buyer's mortgage broker.

Why does it mention services the buyer has applied for?

Estate agents must tell the seller if the buyer has applied for services, such as a mortgage or conveyancing, from the agent or a business connected with it.

What does the chain section show?

Each linked sale, from the bottom of the chain to the top, with who is buying and selling and how far each sale has got.

When is the memorandum of sale sent?

Once an offer has been accepted, so that the conveyancers can start work.
